Terms of Service

These terms are an agreement between you and Base Recursion LLC, which does business as ConveyLoop. Please read them carefully before using ConveyLoop. By accessing or using any part of the platform, you agree to be bound by these terms. If you do not agree, do not access or use the Service.

Last updated: October 12, 2026

1. Definitions & Scope

In these Terms of Service (“Terms”), the following definitions apply:

  • “ConveyLoop,” “we,” “us,” or “our” refers to Base Recursion LLC, doing business as ConveyLoop, and its owners, officers, directors, employees, agents, and affiliates. ConveyLoop is a name Base Recursion LLC does business under, not a separate company: your agreement is with Base Recursion LLC.
  • “Service” means ConveyLoop: its website (conveyloop.com), web application, APIs, integrations, background workflows, and all related documentation and functionality we make available.
  • “Customer,” “User,” “you,” or “your” means any individual or entity that accesses or uses the Service.
  • “Account” means a registered user account on the Service: the sign-in of one person (see section 3).
  • “Organization” means the business or organization set up in the Service, to which subscriptions and Content belong.
  • “Content” means any text, images, data, files, credentials, prompts, brand information, or other material you submit to, upload to, or transmit through the Service, including the facts ConveyLoop learns about your business.
  • “Output” means any text, images, media, campaign assets, suggestions, SEO content, social posts, analytics summaries, or other material generated or derived by the Service, including through artificial intelligence or machine-learning features.
  • “Third-Party Services” means any external platform, service, or API that the Service connects with or relies on, including but not limited to Google, WordPress, social media posting services, Stripe, and AI model providers.

These Terms govern your access to and use of every aspect of the Service, including the website, application dashboards, APIs, integrations, background workflows, and any Output produced by or through the Service.

2. Eligibility, Authority & Acceptance

For business use only. ConveyLoop is a service for businesses and organizations. You may use it only for a trade, business, craft, or profession, or for an organization — including as a sole proprietor or freelancer, a creator who earns income from their content, an agency or consultant working for clients, a nonprofit, a school, a religious or community group, or a public body — and not for personal, family, or household purposes. A website run to earn income or to promote an organization qualifies; a website kept purely as a personal hobby does not.

By accessing or using the Service, you represent and warrant that: (a) you are at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater; (b) you have the legal capacity and authority to enter into a binding agreement; (c) if you are acting on behalf of an organization, you have the authority to bind that organization to these Terms, and that organization agrees to be responsible for all users it authorizes; and (d) you are using the Service wholly or mainly for business or organizational purposes. If you do not meet these requirements or do not agree to these Terms, you must not access or use the Service.

3. Your Account & Organization

Accounts and Organizations. An Account belongs to one person. Subscriptions and Content belong to an Organization, not to an individual Account. An Account is connected to an Organization through a membership.

The owner. Each Organization has exactly one owner, the person who set it up. The owner is responsible for the Organization’s subscriptions and for its use of the Service under these Terms. If the Service lets the owner give other people access to the Organization, the owner is also responsible for those people and their use of the Service.

4. Accounts & Security

You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account, whether or not authorized by you. You agree to notify us immediately of any unauthorized use or suspected breach of security. ConveyLoop reserves the right to suspend or terminate any Account at any time, without prior notice, if we reasonably believe the Account has been compromised, is being used in violation of these Terms, or poses a security risk to the Service or other users.

5. Subscription, Fees & Taxes

Certain features of the Service require a paid subscription. Fees are charged as described at the time of purchase or checkout and may include recurring subscription charges and one-time charges. All fees are quoted in U.S. dollars unless otherwise stated.

The price shown is the price you pay. You pay the price shown for a plan or purchase, plus any applicable sales tax, which is shown before you pay. There are no hidden fees.

Month to month, one website per subscription. Every plan is billed monthly, for one website (project) per subscription. There are no annual plans or annual commitments.

Usage credits. Each plan includes a monthly allowance of usage credits and quotas for its project, shown on the pricing page. The work ConveyLoop does for the project draws on them. They reset at the start of each billing month and do not roll over.

Credit packs. A project with a plan can buy a credit pack for $10, plus any applicable sales tax, which adds 1,000 usage credits to that project. A project can buy up to 3 packs per billing month, and a pack’s credits expire at the end of the billing month it was bought in. Credit packs are one-time charges and have no cash value.

Generally non-refundable. Payments are generally non-refundable, except where required by applicable law. No credits or refunds are issued for partial months, unused quotas, or downgrades.

Automatic renewal. Subscriptions renew automatically at the end of each monthly billing period at your plan’s price unless you cancel before renewal. That price changes only as described under “Price changes” below. You authorize us (through our payment processor) to charge the payment method on file for renewal fees.

Cancellation. You may cancel at any time from inside the app. When you cancel, your plan stays active until the end of the month you have already paid for, then ends, and you are not charged again. If a payment is past due when you cancel, the plan ends at once and the unpaid invoice is voided. You can undo a cancellation until the plan ends.

Failed payments. If a renewal payment fails, the Service for that project is paused until the payment goes through, and its scheduled social posts are taken off the schedule. You can update your payment method and pay from inside the app at any time, and we will also retry the charge. If it remains unpaid after our retries, the plan ends.

Plan changes. An upgrade takes effect immediately, and the prorated difference for the rest of the current month is charged at once. A downgrade takes effect at the start of your next billing month; the current month is not credited.

Price changes. We may change our prices. If we change the price of a plan you already have, we will tell you in advance, and the new price will apply only from a billing month that starts after that notice. You can cancel before then, and you will not be charged the new price.

Taxes. Sales tax and similar taxes are calculated from your billing address and shown before you pay. You are responsible for all applicable taxes, duties, and levies arising from your use of the Service. If we are required to collect or remit taxes on your behalf, you agree to pay those amounts in addition to the stated fees.

6. Customer Content & License

Ownership. You retain all ownership rights in your Content. Nothing in these Terms transfers ownership of your Content to ConveyLoop.

License grant. By submitting Content to the Service, you grant ConveyLoop a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, reformat, create derivative works of, transmit, process (including through AI and machine-learning models), and display your Content solely as necessary to operate, provide, maintain, and improve the Service, and to deliver Output to you. This license survives termination of your Account solely to the extent necessary for ConveyLoop to complete any in-progress processing and comply with legal obligations.

Output. As between you and ConveyLoop, you own the Output generated for you, to the extent the law allows anyone to own it. You may use, change, publish, and transfer it, including to your clients (section 15). Output is not part of ConveyLoop IP (section 17), and we use it only as we may use your Content under the license above. Because Output may not be unique (section 10), owning your Output gives you no rights in similar output generated for anyone else.

Representations. You represent and warrant that: (a) you own or have all necessary rights, licenses, consents, and permissions to submit your Content and to grant the foregoing license; (b) your Content does not and will not infringe, misappropriate, or violate any third-party rights; (c) you have obtained all necessary consents and authorizations required to connect third-party accounts and integrations to the Service; and (d) where your Content includes personal information about other people — such as your team, your customers, or people named on your website — you have the right to provide it to us and have given any notices and obtained any consents the law requires for us to process it on your behalf.

7. ConveyLoop Is Separate From Other Base Recursion Products

Its own account and data. Base Recursion LLC may offer other products under other names. ConveyLoop has its own Accounts, its own sign-in, and its own database. Your Account is used only for ConveyLoop, and we do not share your data with any other Base Recursion product or service. (The service providers we use to run ConveyLoop, and the third-party services you connect to it, are covered by section 11 and our Privacy Policy, not by this section.) Another Base Recursion product needs its own account and has its own terms.

If we offer a way to connect products. Base Recursion LLC may in the future offer a service that brings its products together. If it does, connecting ConveyLoop to it will be optional. Data will move between ConveyLoop and that service, in either direction, only with your consent, and you will be able to withdraw that consent at any time.

Never sold. We never sell your data.

8. Your Data: Download, Retention & Deletion

Download a copy. You can download a copy of your data from inside the app, after re-entering your password. We never send your data by email.

When your plan ends. When your Account’s last paid plan ends — because you cancelled or because payment failed — you can still sign in for 60 days to a download-only view, where you can download your data, resubscribe, contact us, or delete your Account, and nothing else.

Automatic deletion. At the end of those 60 days, ConveyLoop permanently deletes your Account and its Content.

When one project’s plan ends. If a project’s plan ends while your Account still has another paid plan, that project’s data is kept with your Account and is deleted when your Account is.

Deleting sooner. You can delete your Account and its data yourself at any time before then. Deleting it ends any subscription at once, without a refund.

Files ConveyLoop hosts. The Content deleted with your Account includes files ConveyLoop hosts for pages you published, such as images. Pages that still use those files will no longer be able to show them.

Backups. Deleted data may remain in our backups for up to 7 days.

Billing records. Invoices, payment and tax records, and the record of each version of these Terms you accepted are kept separately from your Content for 10 years and are not deleted with your Account.

If you can’t sign in. If you can’t sign in, you can ask for your data through the contact methods in section 9. We will confirm your identity before we provide it.

9. Support & Contact

Support and privacy requests reach us by email at support@conveyloop.com, or through the contact form on our website. If you are signed in, the in-app feedback form reaches the same place. We do not offer support by phone.

Every message receives an automatic acknowledgement, so you know it arrived; several messages sent close together may share one. Privacy requests are answered within the deadlines set by applicable law.

10. AI Features & Output Disclaimers

The Service utilizes artificial intelligence and machine-learning technologies to generate Output, including but not limited to marketing copy, social media posts, blog content, SEO pages, campaign recommendations, media assets, and analytics summaries. You acknowledge and agree that:

  • Output is generated algorithmically and may be inaccurate, incomplete, misleading, biased, duplicative, or otherwise not fit for any particular purpose
  • Output does not constitute and should not be relied upon as legal, financial, tax, compliance, medical, or other professional advice
  • ConveyLoop makes no representations, warranties, or guarantees regarding the accuracy, reliability, completeness, or suitability of any Output
  • You are solely responsible for reviewing, verifying, editing, and approving all Output before use, publication, or distribution — or, where the Service lets you have it act without that review, for choosing to do so
  • You are solely responsible for all decisions made and actions taken based on Output, including publishing, distributing, or otherwise relying upon Output
  • Output may not be unique and other users of the Service or of the underlying AI models may receive similar or identical Output

AI labels. ConveyLoop labels the images and videos it generates as AI-generated. Where it can, it adds Content Credentials (a machine-readable mark) to the files. When it publishes a social post that carries them, it sets the platform’s own AI label where the platform has one, and otherwise adds #AIgenerated to the caption. You should not remove these labels. They do not replace any other disclosure that the law or a channel’s rules require of you.

11. Third-Party Services, Integrations & Tools You Authorize

The Service may integrate with, connect to, or rely upon Third-Party Services, including but not limited to Google (Search Console and Analytics), WordPress, social media platforms, social posting and scheduling providers, payment processors, AI model providers, and email delivery services. You acknowledge and agree that:

  • Third-Party Services are not owned, controlled, or operated by ConveyLoop
  • ConveyLoop is not responsible for the availability, accuracy, reliability, security, or policies of any Third-Party Service
  • ConveyLoop is not liable for any outage, suspension, ban, policy enforcement action, API change, data loss, or other event originating from any Third-Party Service
  • Your use of Third-Party Services is governed by the respective terms, policies, and agreements of those Third-Party Services, and you are solely responsible for compliance with them
  • ConveyLoop may modify, suspend, or discontinue integrations with any Third-Party Service at any time without liability to you

Tools you authorize. Where the Service offers a way to do so, you may authorize other tools and services — including your own AI assistants — to access your data in the Service. When you do, you direct us to give that tool the access you approve. What the tool does with your data is governed by its own terms, and you are responsible for the tools you authorize and for what they do with your Account. You can withdraw that access at any time.

12. Publishing to Your Own Channels

Your authorization. When you connect a channel you own or manage — such as your website (through WordPress or a Git repository) or your social media accounts — you authorize ConveyLoop to publish, change, and unpublish content there on your behalf, within the access you grant. You must own, or be authorized to manage, every website and account you connect.

How much ConveyLoop does on its own. You choose how much ConveyLoop does without asking you first. In its most automated mode, ConveyLoop publishes and changes content, and reverses changes that did not perform, without waiting for your approval; in other modes, it waits for your approval of some or all actions. You can change the mode, or disconnect a channel, at any time.

13. Responsibility for Published Content

Content ConveyLoop publishes to your channels is published on your behalf and in your name. You are responsible for it as if you had published it yourself, including Output that ConveyLoop published automatically in the mode you chose. You are also responsible for following the rules of each channel you connect. Section 10 applies to everything ConveyLoop publishes.

No guaranteed results. ConveyLoop does not guarantee any specific marketing performance, search-engine ranking, conversion rate, traffic volume, revenue, or return on investment as a result of using the Service or any Output.

14. Your Website & the Facts ConveyLoop Learns

ConveyLoop crawls the website you give it to learn facts about your business — for example, what you sell, your pricing, and your team — and uses those facts to ground what it writes. You must own that website, or have permission to have it crawled.

15. Using ConveyLoop for Your Clients

You may use ConveyLoop to market other businesses for them — for example, as an agency or a consultant running a project for each client’s website. When you do:

  • You are our customer. These Terms are between you and us, not your clients. You are responsible under them for every project you run, including your clients’ projects.
  • You need your clients’ permission. You must have each client’s permission for the websites and accounts you connect for them, for having their website crawled, and for the information about them that you put into ConveyLoop (sections 6, 12, and 14).
  • Your client relationships are yours. What you charge your clients and what you agree with them are between you and them. Your clients have no rights under these Terms, and you are responsible for any promises you make to them about ConveyLoop or the Output.
  • Your clients’ projects are your Content. They are downloaded, kept, and deleted with your Account as described in section 8, so it is up to you to download anything a client needs before your Account is deleted.

Using ConveyLoop this way is not reselling it. Reselling or white-labeling the Service itself still needs our written approval (section 16).

16. Acceptable Use & Prohibited Conduct

You agree to use the Service only for lawful purposes and in compliance with all applicable laws, regulations, and third-party terms. Without limiting the foregoing, you shall not:

  • Use the Service to send unsolicited messages, spam, or communications in violation of applicable anti-spam or marketing laws
  • Upload, transmit, or generate Content or Output that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
  • Upload, transmit, or generate Content or Output that infringes any intellectual property right, right of publicity, or right of privacy of any third party
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or data models of the Service or any component thereof
  • Scrape, crawl, spider, or use any automated means to access or extract data from the Service except through our published APIs in accordance with their documentation and rate limits
  • Bypass, circumvent, or attempt to circumvent any quota, rate limit, access control, authentication mechanism, or security measure of the Service
  • Interfere with or disrupt the integrity, performance, or availability of the Service or any related infrastructure
  • Conduct vulnerability testing, penetration testing, or security assessments on the Service without prior written authorization from ConveyLoop
  • Resell, sublicense, or white-label the Service itself — for example, by selling access to it, or by offering it to others as your own software — without prior written approval from ConveyLoop. Using the Service to do marketing work for your own clients is allowed (section 15)
  • Use the Service or any Output to violate any applicable law or any third-party platform’s terms of service or acceptable-use policy
  • Create multiple Accounts to circumvent restrictions, evade enforcement actions, or abuse promotional offers
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity

We reserve the right to investigate and take appropriate action, including suspension or termination of your Account and removal of Content, for any violation of this section.

17. Intellectual Property

The Service, including but not limited to its software, source code, object code, algorithms, data models, user interfaces, designs, templates, documentation, trademarks, trade names, logos, and all improvements, modifications, and derivative works thereof (“ConveyLoop IP”), is and shall remain the exclusive property of Base Recursion LLC and its licensors. All rights not expressly granted herein are reserved.

Subject to your compliance with these Terms, ConveyLoop grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your business or organizational purposes, including work for your clients (section 15), during the term of your subscription. This license does not include the right to copy, modify, distribute, sell, lease, sublicense, or create derivative works of any part of the Service or ConveyLoop IP.

18. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, INCLUDING ALL CONTENT, OUTPUT, FEATURES, AND FUNCTIONALITY, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

CONVEYLOOP EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; (B) WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE; (C) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, VIRUS-FREE, OR FREE OF HARMFUL COMPONENTS; (D) WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT OR OUTPUT; AND (E) WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR ACHIEVE ANY PARTICULAR RESULTS, PERFORMANCE, OR OUTCOMES.

CONVEYLOOP DOES NOT WARRANT THAT ANY DATA OR CONTENT WILL BE PRESERVED, BACKED UP, OR RECOVERABLE. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS OF YOUR CONTENT.

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions shall apply to the maximum extent permitted by applicable law.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONVEYLOOP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICE; (B) ANY CONTENT OR OUTPUT GENERATED, OBTAINED, OR TRANSMITTED THROUGH THE SERVICE; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS, CONTENT, OR DATA; (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY IN CONNECTION WITH THE SERVICE; (E) ANY THIRD-PARTY SERVICE OUTAGES, SUSPENSIONS, BANS, OR API CHANGES; OR (F) ANY OTHER MATTER RELATING TO THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF CONVEYLOOP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF CONVEYLOOP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, LICENSORS, AND SUPPLIERS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (I) THE TOTAL AMOUNTS ACTUALLY PAID BY YOU TO CONVEYLOOP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (II) ONE HUNDRED U.S. DOLLARS ($100.00).

THE LIMITATIONS IN THIS SECTION REFLECT A FAIR AND REASONABLE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN CONVEYLOOP AND YOU. THE SERVICE WOULD NOT BE PROVIDED WITHOUT THESE LIMITATIONS.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the above limitations shall apply to the maximum extent permitted by applicable law.

20. Indemnification

You agree to indemnify, defend, and hold harmless ConveyLoop and its officers, directors, employees, agents, contractors, affiliates, licensors, and suppliers (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to:

  • Your Content, including any claim that your Content infringes or misappropriates any third-party right
  • Your use of the Service or any Output, including any marketing, publishing, or campaign activity undertaken using Output
  • Your connection of third-party accounts or integrations to the Service
  • Your violation or alleged violation of these Terms, any applicable law, regulation, or any third-party right
  • Any dispute between you and any third party, including your clients, arising from your use of the Service

ConveyLoop reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate fully with ConveyLoop in asserting any available defenses.

21. Suspension & Termination

ConveyLoop may, in its sole discretion and without liability, suspend or terminate your Account or access to all or part of the Service at any time, with or without notice, for any reason, including but not limited to: (a) breach or suspected breach of these Terms; (b) non-payment of fees; (c) conduct that ConveyLoop reasonably believes is harmful to other users, the Service, or third parties; (d) suspected fraudulent, abusive, or illegal activity; or (e) compliance with applicable law, regulation, or legal process.

Effect of termination. Upon termination: (i) your license to use the Service immediately ceases; (ii) you must cease all use of the Service; and (iii) ConveyLoop may, but is not obligated to, delete your Account and any associated Content. ConveyLoop shall have no liability for the deletion of any Content or data. You can download your data from inside the app as described in section 8, and it is your responsibility to do so before your Account is deleted.

Survival. The following sections survive termination of these Terms: Definitions & Scope, Customer Content & License (solely as described therein), Your Data: Download, Retention & Deletion, AI Features & Output Disclaimers, Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law, and Miscellaneous.

22. Dispute Resolution

Informal resolution. Before initiating any formal proceeding, you agree to first contact us through the contact methods in section 9 and attempt to resolve the dispute informally for at least thirty (30) days.

Binding arbitration. If we cannot resolve the dispute informally, you and ConveyLoop each agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (excluding disputes relating to the enforcement or validity of ConveyLoop’s intellectual property rights or claims for injunctive relief) shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, as modified by these Terms. The arbitration shall take place in Utah, unless otherwise agreed by the parties. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class action waiver. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CONVEYLOOP EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR PRIVATE ATTORNEY GENERAL ACTION. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES’ INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Injunctive relief. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or the security of the Service.

23. Governing Law

These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict-of-laws principles. To the extent that litigation is permitted under these Terms, you irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Utah for all disputes arising out of or relating to these Terms.

24. Changes to Terms

ConveyLoop may change these Terms. When we do, we change the “Last updated” date at the top of this page, and the next time you open the app we ask you to read and accept the new version before you continue. If you have an active plan, we also email you once to let you know. Every customer is asked to accept every change, and we keep a record of each version you accepted (section 8). Until you accept a new version, the version you last accepted continues to apply to you. If you do not want to accept it, you can still use Account to cancel your plan, download your data, or delete your Account, or contact us (section 9). A change to prices follows section 5 instead.

25. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy and any order form, checkout page, or subscription agreement, constitute the entire agreement between you and Base Recursion LLC with respect to the Service and supersede all prior or contemporaneous understandings, whether written or oral.

Severability. If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

No waiver. The failure of ConveyLoop to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by ConveyLoop.

Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of ConveyLoop. ConveyLoop may assign these Terms freely, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

Force majeure. ConveyLoop shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, riots, labor disputes, government actions, power failures, internet or telecommunications failures, or failures of Third-Party Services.

Electronic communications. By using the Service, you consent to receiving communications from ConveyLoop electronically, including by email and through notices posted on the Service. You agree that all agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.

Links. The Service may contain links to third-party websites. ConveyLoop has not reviewed all linked sites, does not endorse them, and is not responsible for their content, policies, or practices. Use of any linked website is at your own risk.

Contact. If you have any questions about these Terms, write to us through the contact page, at support@conveyloop.com, or through the in-app feedback form.
